Terms of Service

1. About GroundPace

GroundPace ("we", "us", "our") is a cloud-based construction project management platform operated by GroundPace Inc. The platform includes tools for project tracking, earned value management, field reporting, timesheets, safety documentation, invoicing, online payment collection, and related features (collectively, the "Service").

2. Eligibility & Account Registration

• You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or your organization.
• You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@groundpace.com if you suspect unauthorized access.
• Each account is for a single company or organization. You may not share credentials between unaffiliated entities.
• We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

3. Subscription Plans & Billing

• Free Trial. New accounts receive a 14-day free trial at Starter plan level. No credit card is required to start a trial.
• Paid Plans. After the trial, continued use requires a paid subscription (Starter, Professional, Business, or Enterprise). Pricing is displayed on our website and may change with 30 days' notice.
• Billing. Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as described in our refund policy.
• Cancellation. You may cancel at any time. Access continues until the end of the current billing period. We do not pro-rate partial months on monthly plans.
• Taxes. Prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes applicable in your jurisdiction.

4. Online Payment Processing

GroundPace offers an optional invoice payment feature powered by Stripe Connect (available on Professional plan and above).

• By connecting a Stripe account, you agree to Stripe's Terms of Service and Connected Account Agreement.
• GroundPace does not store, process, or have access to your clients' payment card data. All payment data is handled exclusively by Stripe.
• GroundPace does not charge a platform fee on payments collected through Stripe. Standard Stripe processing fees (currently ~2.9% + $0.30 per card transaction) apply and are deducted by Stripe before funds are deposited to your bank.
• You are solely responsible for compliance with applicable payment laws, tax obligations, and refund obligations arising from payments collected through your GroundPace account.
• GroundPace is not liable for Stripe service outages, payment failures, or disputes between you and your clients.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation.
• Upload content that is defamatory, obscene, fraudulent, or infringes any third-party intellectual property right.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reverse-engineer, decompile, or create derivative works from the Service.
• Use automated means (scrapers, bots, crawlers) to access or interact with the Service without our prior written consent.
• Resell or sublicense access to the Service to third parties.

6. Your Data & Content

• You retain full ownership of all data, files, and content you upload to GroundPace ("Your Content").
• By uploading Your Content, you grant GroundPace a limited, non-exclusive licence to store, process, and display it solely to provide the Service to you.
• We do not sell or share Your Content with third parties except as described in our Privacy Policy or as required to operate the Service (e.g., cloud storage providers).
• You are responsible for ensuring you have all necessary rights to upload and use Your Content within the Service.
• Upon account termination, we will retain Your Content for 30 days to allow export, after which it may be permanently deleted.

7. Intellectual Property

All software, design, trademarks, logos, and content comprising the GroundPace platform (excluding Your Content) are the exclusive property of GroundPace Inc. and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you ownership of or licence to our intellectual property other than the limited right to use the Service as described herein.

8. Availability & Modifications

• We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable.
• We may modify, add, or remove features of the Service at any time. Material changes affecting paid plan features will be communicated with at least 14 days' notice.
• We reserve the right to discontinue the Service with 60 days' advance notice.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROUNDPACE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless GroundPace Inc. and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with the Arbitration Act (Ontario), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or an in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
